Terms & Conditions

These Terms are an agreement between you and DOLLANI, LLC ("we", "us", "our") for the use of skoolhero.com and Skool Hero (together, the "Services"). If you use the Services for a business or community, you agree to these Terms on its behalf. If you do not agree, do not use the Services.

1. What Skool Hero does

Skool Hero learns from course content you provide and answers member questions in your Skool community. It reads posts in the categories you choose, and direct messages if you turn that on. It drafts replies and posts them through a separate Skool account that you create for the assistant, either after you approve them or automatically if you turn on auto-approve.

2. Who can use the Services

You must be at least 18 and able to enter a binding contract. You may only connect a Skool community that you own or are authorized to manage and connect.

3. Your account

Keep your login details safe. You are responsible for everything that happens under your account and in your workspace, including the actions of teammates you invite. Tell us right away at hero@skoolhero.com if you think your account has been used without permission.

4. Skool

Skool Hero is an independent product. It is not made, endorsed or supported by Skool. By connecting a community, you confirm that:

• you will follow Skool's terms and rules and your own community rules;
• you are responsible for the assistant account, including its access and what it posts; and
• you understand that Skool can change its platform or restrict accounts at any time. This may interrupt the Services, and we are not responsible for actions Skool takes.

5. Your content and your members

You keep ownership of everything you add to Skool Hero, including lessons, videos, files, instructions and settings, and of your community's posts and messages ("Your Content"). You give us permission to host, copy, process and transmit Your Content, including to our AI and hosting providers, only as needed to run, secure and support the Services for you.

You confirm that:

• you have the rights to the content you add, including any videos or YouTube links;
• you have told your members that an AI assistant answers questions in your community, and you have any permission the law requires to let us process their posts and messages; and
• Your Content does not break any law or anyone else's rights.

We process members' information on your behalf, as described in our Privacy Policy.

6. AI replies

Replies are generated by AI from your content and can be incomplete or wrong. You decide which replies are posted, either by approving them or by turning on auto-approve, and you are responsible for replies posted in your community. Skool Hero does not give financial, investment, legal, medical or other professional advice, and its replies should not be treated as such.

7. Acceptable use

You agree not to:

• use the Services for anything illegal, harmful or deceptive;
• send spam or unsolicited messages, or use the assistant to harass or mislead people;
• upload content you do not have the right to use, or malicious code;
• try to get around our limits or security, or access other workspaces;
• copy, resell or reverse engineer the Services, or use them to build a competing product; or
• overload or disrupt the Services or the networks they use.

We may suspend or remove access, or pause the assistant, if we believe these Terms are being broken or that someone could be harmed.

8. Plans and payment

• Some features are free. Others, including posting replies to your community, need a paid plan. Plans are billed per community.
• Paid plans renew automatically each billing period until you cancel. You authorize us and our payment providers to charge your payment method on each renewal.
• You can cancel at any time in the app. Your plan stays active until the end of the period you have paid for.
• Payments are non-refundable, except where the law requires a refund.
• Prices do not include taxes unless we say so. If we change a price, we will tell you before your next renewal.
• If a payment fails, we may suspend paid features until it is resolved.

9. Our property

We own the Services, including the software, design and the Skool Hero name and logo. These Terms give you permission to use the Services for your community while your account is active. They do not transfer any ownership to you. If you send us feedback or ideas, we may use them without owing you anything.

10. Third-party services

The Services depend on third parties such as Skool, our hosting and AI providers, and payment processors. Their services are governed by their own terms, and we are not responsible for them.

11. Changes and availability

We are always improving Skool Hero and may add, change or remove features. We aim to keep the Services available but cannot promise they will always be uninterrupted or error-free.

12. Ending the agreement

You can stop using the Services and delete your workspace at any time. We may suspend or end your access if you break these Terms, if we must do so by law, or if we stop offering the Services. In that case we will give you reasonable notice where we can. After your workspace is deleted, we delete its data as described in our Privacy Policy. Sections 5, 6 and 9 to 16 continue to apply after the agreement ends.

13. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.

14. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, MEMBERS OR DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITS, SO THEY MAY NOT ALL APPLY TO YOU.

15. Indemnity

You agree to cover our reasonable costs, including legal fees, if a third party makes a claim against us arising from Your Content, replies posted in your community, your breach of these Terms or Skool's terms, or your violation of anyone's rights.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. Before starting any formal dispute, please email us at hero@skoolhero.com so we can try to resolve it informally within 30 days. If we cannot, the dispute will be heard by the courts of the State of Delaware, unless the law where you live gives you the right to bring it elsewhere.

17. Changes to these Terms

We may update these Terms. We will change the date at the top, and if the change is significant we will tell account holders by email or in the app before it takes effect. If you keep using the Services after that, you accept the updated Terms.

18. General

These Terms and our Privacy Policy are the whole agreement between you and us about the Services. If part of these Terms cannot be enforced, the rest still applies. If we do not enforce a right straight away, we have not given it up. You may not transfer these Terms without our written permission. We may transfer them as part of a merger, acquisition or sale of our business. Neither of us is responsible for delays caused by events beyond our reasonable control.
